These Terms and Conditions (“Terms”) govern your use of sdrcreativesolutions.com and any services provided by SDR Creative Solutions LLC (“Company,” “we,” “us,” or “our”). By accessing our website or engaging our services, you agree to these Terms.
Services
SDR Creative Solutions LLC provides AI automation consulting, AI virtual receptionist services, custom AI agent builds, website builds, and related digital services for small businesses. The specific scope of services for each engagement is defined in a separate Service Agreement.
Payment Terms
All service engagements require a 50% non-refundable deposit before work begins. The remaining balance is due upon delivery and acceptance of the agreed deliverables. Late payments accrue a fee of 1.5% per month on the outstanding balance.
Intellectual Property
All frameworks, prompt libraries, workflows, and templates created by SDR Creative Solutions LLC remain our intellectual property. Client-specific customizations are owned by the client upon full payment, subject to a Standard Use License. Clients may not resell, sublicense, or transfer deliverables without a separate Reseller License.
AI Output Disclaimer
AI-generated outputs may be inaccurate, incomplete, or inappropriate. Clients are responsible for reviewing all AI-generated content before publishing, acting upon, or sharing it. SDR Creative Solutions LLC is not liable for outcomes resulting from AI outputs.
Limitation of Liability
To the maximum extent permitted by law, SDR Creative Solutions LLC’s total liability shall not exceed the total fees paid by the client for the specific service giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
Third-Party Platforms
Our services may integrate with third-party platforms (OpenAI, Anthropic, GoHighLevel, and others). We are not responsible for changes, outages, or policy updates made by these platforms. Clients are responsible for maintaining their own accounts and API subscriptions.
Confidentiality
Both parties agree to keep confidential any non-public business, technical, or financial information shared during the engagement. Confidentiality obligations survive termination of services for three years.
Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia. Any disputes shall be resolved through binding arbitration in Fauquier County, Virginia, administered by the American Arbitration Association.
Changes to These Terms
We reserve the right to update these Terms at any time. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
